1. Use of Service (B2B Only)

The Service is intended for business use only. You represent that:

• You are acting on behalf of a registered business
• You have authority to bind that business
• You will use the Service for lawful commercial purposes only

2. Customer Responsibility (Telecommunications Compliance)

You are solely responsible for all communications sent using your phone numbers. This includes compliance with:

• Telephone Consumer Protection Act (TCPA)
• Do-Not-Call (DNC) regulations
• Carrier rules (including 10DLC requirements)

You are responsible for obtaining any required customer consent before initiating communication.

3. Nature of the Service

The Service responds to inbound customer interactions (e.g., missed calls or voicemails) by sending automated SMS messages and collecting relevant information.

We do not initiate outbound marketing campaigns or unsolicited communications on your behalf.

4. Automated Responses

The Service uses automated systems to generate responses and collect customer information. You acknowledge that:

• Responses may not always be accurate or complete
• The Service may misinterpret customer input

You are responsible for verifying information before taking action.

5. Acceptable Use

You agree not to use the Service to:

• Send unsolicited or unlawful messages
• Violate telecommunications laws or carrier policies
• Attempt to reverse engineer or replicate the Service
• Interfere with or disrupt the Service

We reserve the right to suspend or terminate accounts that violate these terms.

6. Fees and Billing

All subscriptions are billed in advance on a recurring monthly basis.

• Payments are non-refundable
• You are responsible for all charges incurred under your account

We reserve the right to suspend access for non-payment.

7. Intellectual Property

All rights, title, and interest in the Service, including software, systems, and underlying technology, remain the property of MissedCallGuard LLC.

You may not copy, modify, or reverse engineer the Service.

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation.

The Service depends on third-party providers (e.g., telecommunications networks, cloud infrastructure), which may impact performance.

9. Limitation of Liability

To the maximum extent permitted by law, MissedCallGuard LLC shall not be liable for:

• Lost revenue or missed business opportunities
• Indirect, incidental, or consequential damages
• Errors or delays in automated responses

Our total liability for any claim shall not exceed the amount you paid us in the 30 days preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless MissedCallGuard LLC from any claims, damages, or liabilities arising from:

• Your use of the Service
• Your failure to comply with applicable laws
• Communications sent using your phone numbers

11. Termination

You may cancel your subscription at any time.

We may suspend or terminate your access if:

• You violate these Terms
• Required payments are not made

12. Modifications

We may update these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of [Insert State], without regard to conflict of law principles.

14. Dispute Resolution
